EXPLANATION TO PUBLIC CENSURE
Shareholders are hereby referred to the public censure imposed by the JSE on both Insimbi
and Mr Fred Botha in his capacity as a director and CEO on 14 April 2021.
The Company and Mr Botha see it fit to provide a context to shareholders as to circumstances
that resulted in the imposed public censure.
Shareholders are advised that during the period between 13 March 2020 until 3 April 2020,
the Company repurchased an aggregate number of 218 329 shares at an aggregate purchase
price of R177 149,37 under the approved repurchase programme, which are held as treasury
shares.
Notwithstanding the correspondence between the company, Mr Botha and the Broker
(independent third party), during lockdown period, all trades pursuant to the Repurchase
Programme were carried out within the parameters regarding the price and volumes of the
Repurchase Programme and there was no financial benefit to either Mr Botha or the Company.
