NOTICE OF THE 26th ANNUAL GENERAL MEETING (AGM) OF MTN GROUP LIMITED AND THE
SUMMARISED ANNUAL FINANCIAL STATEMENTS
Notice is hereby given that the 26th AGM of shareholders of the company will be held on Friday,
28 May 2021 at 14:30 SAST by electronic participation to transact business as stated in the notice of
the annual general meeting.
Shareholders are advised that the Notice of the Annual General Meeting of the Company (Notice of
AGM) is available on the Company’s website and can be viewed at www.mtn.com. The Notice of AGM
and the summarised consolidated annual financial statements of the Company for the year ended
31 December 2020 are also being posted today, 29 April 2021, to shareholders who have made the
appropriate election.
As the meeting will be held electronically, shareholders will not be able to physically attend the
meeting but will be able to interact and participate in the proceedings by webcast. Shareholders will
also be able to submit questions in advance of the AGM. In order to be able to watch and listen to the
meeting and to submit questions in advance, shareholders are required to register in advance of the
AGM by no later than 14:30 SAST on Friday 28 May 2021, at www.smartagm.co.za. Details relating to
the webcast and the registration process are included in the Notice of AGM.
Record dates
The Board has determined the salient dates of the AGM as follows:
The record date in order to receive the Notice of AGM was Friday, 16 April 2021. The date on which
shareholders must be recorded as such in the share register to be eligible to vote at the annual general
meeting is Friday, 21 May 2021 with the last day to trade being Tuesday, 18 May 2021.
