CAUTIONARY ANNOUNCEMENT
Transaction Capital shareholders are advised that Transaction Capital Motor Holdco Proprietary Limited
(“TCMH”) has entered into formal negotiations with WBC Holdings Proprietary Limited (“WBC Holdco”),
the holding company of We Buy Cars Proprietary Limited, and its shareholders to conclude a transaction in
the short term that will result in TCMH holding 74.9% of the shares in and acquiring control of WBC Holdco.
If the transaction is successfully concluded, it may have a material effect on the price of the company’s
securities.
Accordingly, shareholders should exercise caution when dealing in their shares until a further
announcement is made.
