Subject: Globe Trade Centre S.A. announces an offering of senior unsecured green bonds by its
subsidiary GTC Aurora Luxembourg S.A. (publ) and guaranteed by Globe Trade Centre S.A.
The Management Board of Globe Trade Centre S.A. ("Company", “GTC”), announced that its wholly-
owned subsidiary, GTC Aurora Luxembourg S.A. (publ) (the “Issuer”), plans to issue EUR 500 million
fixed rate, senior unsecured green bonds (the “Green Notes”). The Green Notes will be guaranteed by
GTC.
The Company intends to use the net proceeds of the Green Notes to primarily refinance existing secured
debt on its projects whose activities meet the eligibility criteria detailed in the GTC's Green Bond
Framework, as well as for general corporate purposes.
This announcement does not constitute or form part of any offer or solicitation to purchase or subscribe
for the Green Notes in the United States or in any other jurisdiction. The Green Notes will not be
registered under the US Securities Act of 1933, as amended (the "Securities Act") and may not be
offered or sold in the US or to, or for the account or benefit of, US persons except pursuant to registration
or an applicable exemption from registration requirements of the Securities Act. This announcement is
not being made, and this announcement has not been approved, by an authorised person for the
