FULFILLMENT OF ALL CONDITIONS PRECEDENT FOR THE B-BBEE TRANSACTION
Shareholders are referred to the announcements released on the Stock Exchange News Service of the
JSE Limited on 23 April 2021 and 26 July 2021, respectively, as well as to the circular to shareholders
dated 25 June 2021 (“Circular”) which set out the details relating to the introduction of a 25% broad-based
black economic empowerment shareholding in Imperial Logistics South Africa Group Proprietary Limited,
a wholly owned subsidiary of Imperial (“B-BBEE Transaction”).
Shareholders are hereby advised that all the conditions precedent relating to the B-BBEE Transaction have
now been fulfilled and the B-BBEE Transaction will accordingly become effective on 30 July 2021.
