CAUTIONARY ANNOUNCEMENT
AfroCentric shareholders (“Shareholders”) are advised that AfroCentric and its subsidiary,
AfroCentric Health (RF) Proprietary Limited, have entered into negotiations with Sanlam Health
Solutions Proprietary Limited for the acquisition of a Gap Cover business that is supplementary to its
current medical scheme offerings, which if successfully concluded may have an effect on
AfroCentric’s share price. This transaction qualifies as a small related party transaction in terms of
the Listings Requirements of the JSE Limited and an independent professional expert has been
briefed to provide a fairness opinion. Accordingly, Shareholders are advised to exercise caution when
dealing in the Company’s securities until a further announcement in this regard is made.
