NOTICE IN TERMS OF SECTION 122 OF THE COMPANIES ACT AND SECTION 3.83(b) OF THE
JSE LISTINGS REQUIREMENTS
The company hereby confirms that it has received a notice in terms of Section 122 of the Companies
Act, No.71 of 2008 (“Companies Act”) in terms of which Lisinfo 209 Investments (Pty) Limited, a special
purpose investment vehicle related to Royal Bafokeng Holdings group of companies, has disposed of
its entire beneficial interest of 15 115 295 (28.56%) shares in the total issued ordinary share capital of
the company to another special purpose investment vehicle within the Royal Bafokeng Holdings group
of companies, Royal Bafokeng Resource Holdings (Pty) Limited.
As required in terms of Section 122 (3)(a) of the Companies Act, the company filed the required notices
with the Takeover Regulation Panel (“TRP”) on 30 August 2021. The requisite notice from the acquirer
has been received and has been filed with the TRP.
