WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT AND POSTING OF CIRCULAR
1. WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcements published on SENS on 16 April
2021, 21 May 2021, 2 July 2021 and 16 August 2021 respectively as well as the announcement
published on 27 August 2021, advising that a firm intention had been received from Spanjaard
Group Limited (“SG”) to acquire 100% of the remaining issued ordinary share capital of the
Company, which SG does not already own. The offer would be implemented by way of a
scheme of arrangement, failing which a standby offer will be made.
In light of the above, shareholders are advised that the cautionary announcement is now
withdrawn.
2. POSTING OF CIRCULAR AND SALIENT DATES
Shareholders are advised that the draft Circular to shareholders has been submitted to the TRP
and the JSE for comments and will be sent to shareholders following formal approval, including
the notice of a General Meeting in terms of section 114(1)(c) of the Companies Act, No. 71 of
2008 as well as the important dates and times in relation to the Scheme. The salient dates will
be announced in due course.
