Reliance on Corporations (Externally-Administered Bodies) Instrument 2015/251

Pursuant to section 250N of the Corporations Act 2001 (Cth), ResGen must hold an annual general meeting (AGM)
at least once in each calendar year and within five months after the end of its financial year, being 30 June 2021.

The Deed Administrators refer to the ASIC Corporations (Externally-Administered Bodies) Instrument 2015/251
(Instrument 2015/251) and Regulatory Guide 174 (RG 174).

The Deed Administrators hereby give notice that ResGen intends to rely on the relief granted to certain bodies
under administration in accordance with RG 174.171 in respect of the requirements to hold an AGM.

As a consequence of the deferral relief granted pursuant to Instrument 2015/251 and RG174, ResGen is not required
to hold an AGM until two months after the deferral relief provided under the legislative instrument expires. As the
deferral relief period expires on 2 January 2022, ResGen is currently required to hold an AGM by no later than
2 March 2022.

The Deed Administrators intend to apply to ASIC for further relief with regard to its financial reporting and AGM
obligations.

Exclusive dealings

The exclusive negotiations undertaken with an interested party with an interest in ResGen and its subsidiaries
(interested party) following the Expressions of Interest campaign have now ended. The interested party to date has
not provided the Deed Administrators a formal proposal for the restructure or rearrangement of ResGen’s business,
property, and affairs.

The Deed Administrators are continuing to assess ResGen’s options.
