TO THE INFORMATION STATEMENT
AVAILABILITY OF GUARANTOR’S ANNUAL FINANCIAL STATEMENTS
Noteholders of the Company (“Noteholders”) are hereby advised that the annual financial
statements for the year ended 30 September 2021 of Pepkor Trading Proprietary Limited
(“Guarantor’s AFS”), the guarantor to the Company’s ZAR 10 billion Domestic Medium Term
Note Programme, are available for inspection at the registered office of Pepkor.
Prior year comparatives in the Guarantor’s AFS were restated for the following reasons:
• To directly account for the net fair value cash flow hedge movements transferred to
inventory in reserves in terms of IFRS 9 Financial Instruments. These were previously
accounted for in other comprehensive income.
• The statement of cash flows was restated to correct a minor error on related party
loans and payables and to better reflect the nature of bank overdraft facilities as
operational in nature as opposed to financial as previously disclosed; and
• minor reclassifications between operating expenses and depreciation and
amortisation.
Noteholders are advised to refer to the Guarantor’s AFS for further details on the
restatements.
Noteholders are further advised that the audit report issued on the Guarantor’s AFS was
unqualified.
UPDATE TO THE INFORMATION STATEMENT
Pepkor advises noteholders that the Information Statement, incorporated by reference in the
Pepkor Domestic Medium Term Note Programme, has been updated.
The updated Information Statement is available for inspection at Pepkor’s registered office
and on the Pepkor website at: https://www.pepkor.co.za/investor-relations/debt-investors/
