ROYAL BAFOKENG HOLDINGS LIMITED TRANSACTION
The Takeover Regulation Panel (“TRP”) has become aware that a communication has gone out to
shareholders of Royal Bafokeng Holdings Limited ("RBPlat Shareholders") in the preceding days. In
terms of this communication, RBPlat Shareholders have been informed that the Impala Platinum
Holdings Limited mandatory offer to RBPlat Shareholders ("Mandatory Offer") is due to close
imminently and that they are required to make an election regarding whether or not to accept the
Mandatory Offer by no later than tomorrow, 13 September 2022.
RBPlat Shareholders are hereby notified that the above communication is misleading and factually
incorrect and that they should not take any action based on this communication. The Mandatory Offer
remains subject to conditions precedent and RBPlat Shareholders are advised to refer to recent
announcement made by RBPlat for further information regarding the Mandatory Offer timelines as
communicated via the JSE Limited's stock exchange news service (SENS). RBPlat Shareholders
who have made an election regarding the Mandatory Offer as a result of the above communication
and have been prejudiced thereby should contact the Takeover Regulation Panel as soon as
possible.
