ACCEPTANCE OF CONDITIONAL AWARDS UNDER MOTUS HOLDINGS CONDITIONAL SHARE
PLAN
In compliance with paragraphs 3.63 to 3.74 of the Listings Requirements of the JSE Limited, the following
information is disclosed:
Motus has allocated Conditional Awards to its executive directors, prescribed officers and company secretary,
in accordance with the Motus Conditional Share Plan (“CSP”) in respect of the 2022 financial year as set out
below. The acceptance thereof occurred on 16 September 2022.
The vesting of Conditional Awards, which occurs after three years i.e. by no later than 15 September 2025 is
subject to the achievement of certain performance conditions as determined by the board of directors of Motus.
These performance conditions will be measured over the three-year performance period which commenced on
1 July 2022 and ending on 30 June 2025, save where it is specified otherwise. These Conditional Awards will
be issued at the 31-day volume weighted average price as at 31 May 2022 of R109.7388 per share. Additional
details of the transactions are disclosed as follows:
