FURTHER CHANGES TO THE BOARD
In compliance with paragraph 3.59 of the JSE Listings Requirements, the board of directors (the
Board) of the Company hereby notifies shareholders that, with immediate effect Mr Conway
Williams is appointed an independent non-executive director of the Company.
Profile of Mr Conway Williams (38):
Conway is a qualified Chartered Accountant. He holds a B.Bus.Sci. (Finance Honours) and Post
Graduate Diploma in Accounting (CTA) from the University of Cape Town. He holds a Masters in
Philosophy (Development Finance), which he obtained in 2016, the CDFA (Chartered
Development Finance Analyst) designation, and he has completed the African Director’s
Programme at the University of Stellenbosch.
Conway has spent the last 13 years working as an Investment Specialist, covering both
private/public debt and private equity transactions. During this time, he has been involved in the
structuring, negotiation, pricing, and execution of numerous transactions, and the monitoring
thereof post execution. Although his key focus has been debt transactions, he has also been able
to consider and close private equity transactions. His various roles have allowed him to gain
experience as a director on various portfolio assets and as a member of various company boards
and sub-committees.
Conway is currently the Head of Credit at Prescient Investment Management Proprietary Limited,
a leading asset manager, based in Cape Town. Previously, he was the Head: Listed Credit and
the Joint Head: Unlisted Credit at Futuregrowth Asset Management Proprietary Limited and a
credit analyst at Old Mutual Investment Group Proprietary Limited. He has had regular contact
with counterparty management, rating agencies, deal originators, legal advisors, and internal
portfolio managers. He has had exposure to internal audit, enterprise risk management, corporate
accounting, accounting consolidations, business planning, valuations, the drafting and reviewing
of legal documents relating to investments and disposals, and general and specific counterparty
research
