DISPOSAL OF ASCENDIS PHARMA – CLOSING OF AUSTELL PHARMA DISPOSAL
Shareholders are referred to the various announcements relating to the proposed disposal by
Ascendis Health SA Holdings Proprietary Limited, a wholly-owned subsidiary of Ascendis Health,
of its direct and indirect interests in the entities through which the business known as “Ascendis
Pharma” operates to Austell Pharmaceuticals Proprietary Limited, for a base purchase consideration
of R432 million (the “Austell Pharma Disposal”).
Shareholders are hereby advised that Austell Pharma Disposal has become unconditional and has closed
today, 31 October 2022.
The closing of the Austell Pharma Disposal is a key milestone towards creating a sustainable capital
structure for the Company. The proceeds will be applied to discharge the majority of the outstanding
debt and will enable the Company to re-focus its attention on the operations of its remaining businesses
and the various strategic initiatives that are currently underway.
