CHANGES TO THE BOARD OF DIRECTORS
In accordance with paragraph 3.59(b) of the JSE Limited Listings Requirements, the board
of directors of the Company (“the Board”) wishes to advise that Mr Mark Bowman (“Mark”)
and Ms. Ronel Van Dijk (“Ronel”) have resigned as non-executive directors of the Board.
Mark will resign as member of the audit and risk, investment and the remuneration and
nomination committees. Ronel will resign as a member of the audit and risk committee. Both
resignations will be effective from 6 April 2023.
Mark and Ronel were both appointed to the Board in December 2018 and have been
invaluable members of the Board and major contributors to the successful value unlock
program at GPI which has culminated in the mandatory offer by GMB to GPI shareholders.
The mandatory offer is unconditional and will be implemented on 6 April 2023.
The Board would like to thank Mark and Ronel for their contribution to the business and wishes
them well in all their future endeavours.
The Board has commenced a process of identifying a suitable replacement/s to fill vacancies
on the relevant committees of the Board arising from the resignations. Shareholders will be
advised in due course of the filling of such vacancies.
