MANDATORY ROTATION OF AUDITOR
Shareholders are advised that in accordance with the 2017 mandatory audit firm rotation rule issued
by the Independent Regulatory Board for Auditors ("IRBA"), the board of directors of Novus (“Board”)
has endorsed the recommendation by Novus’ Audit and Risk Committee, following a comprehensive
tender process, to appoint BDO South Africa Incorporated (“BDO”) as the external auditors of Novus,
with Fayaz Mohamed as designated audit partner, replacing PricewaterhouseCoopers Inc. (“PWC”),
with effect from the financial year commencing on 1 April 2023.
The appointment is subject to shareholder approval at the Group’s next Annual General Meeting
(“AGM”) to be held on or about 25 August 2023. The results of the AGM, including the resolutions to
appoint BDO as the external auditors of Novus, will be announced on SENS following the AGM.
