RESULTS OF INVITATION TO NEDBANK GROUP SHAREHOLDERS TO ENGAGE WITH THE
GROUP ON ITS REMUNERATION IMPLEMENTATION REPORT
Shareholders are referred to the announcement released on SENS on Friday, 2 June 2023 relating to
the results of voting at Nedbank Group’s 56th annual general meeting (AGM) held on that day
(Announcement).
As stated in the Announcement, the advisory endorsement relating to the Nedbank Group
Remuneration Implementation Report (the Report) was voted against by 25,24% of Nedbank Group
shareholders represented at the AGM. The Group invited the shareholders who voted against the
advisory endorsement to engage with the Group by submitting written questions/comments to the
Group Secretary by no later than 17:00 on Friday, 9 June 2023, to enable the Group to engage with
those shareholders with regard to the Report.
Shareholders are advised that no questions or comments were received by the Group Secretary in
response to the above invitation, and therefore no specific engagements will be scheduled to discuss
the aforementioned endorsement. Nedbank Group will continue to engage with shareholders at its
annual governance roadshows, biannually at its results roadshows, and the Group remains available,
between those formal engagements, to receive investors’ views on, inter alia, remuneration matters.
