SEC Filing of Form 6-K relating to Merger Agreement

Shareholders are advised that Textainer Group Holdings Limited, an exempted company limited by shares
incorporated under the laws of Bermuda ("Textainer" or "the Company"), entered into an Agreement and
Plan of Merger (the "Merger Agreement"), by and among the Company, Typewriter Parent Ltd., an
exempted company incorporated under the Companies Act (As Revised) of the Cayman Islands ("Parent")
and Typewriter Merger Sub Ltd., an exempted company limited by shares incorporated under the laws of
Bermuda and a subsidiary of Parent ("Merger Sub"), pursuant to which, upon the terms and subject to
the conditions set forth in the Merger Agreement, Merger Sub will merge with and into the Company (the
"Merger"), with the Company surviving the Merger as a subsidiary of Parent.
