TRUSTCO GROUP HOLDINGS LIMITED ("TRUSTCO") DISPOSING OF A MINORITY
INTEREST IN AN INVESTMENT TRUSTCO FINANCE (PTY) LTD


Trustco shareholders are referred to the announcement published on SENS dated 2 June
2023. Trustco advised that TBN Holdings Limited ("TBN"), Trustco's investment vehicle in
the banking portfolio, has entered into an agreement with Finbond Group Limited ("Finbond")
in terms whereof Finbond would acquire 49% of Trustco Finance (Pty) Ltd ("Trustco
Finance") (the "Finbond Transaction").


Trustco advises shareholders that the parties have agreed not to continue with the
transaction at this time, but may revisit it in future. Further announcements will be made as
and when required.
