NOTICE OF MEETING TO CLASS A NOTEHOLDERS AMENDMENT OF PROGRAMME MEMORANDUM

Noteholders are advised that Sentinel Finco has distributed a notice to Class A noteholders
on 31 October 2023 (the "Notice") regarding amendments to Sentinel Finco's ZAR3,000,000,000
asset-backed securities programme (the "Programme") pursuant to a programme memorandum
dated 18 February 2022 (the "Programme Memorandum"), in terms of which the Issuer may issue
Notes from time to time.

Sentinel Finco seeks the consent of the Class A Noteholders to amend the Programme Memorandum
as set out in the First Supplement attached to the notice as Annexure A. Sentinel Finco wishes
to amend certain provisions of the Programme Memorandum, including the eligibility criteria and
portfolio covenants.

The issuer has enhanced its product offering since the Programme Memorandum was published
and as a consequence the proposed amendments are required to align the Programme Memorandum
with these developments.

The consent of the Class A Noteholders is requested by written Extraordinary Resolution ("Written
Extraordinary Resolution") in terms of Condition 17.4.2 of the Terms and Conditions of the Notes,
in the form attached as Annexure B in the notice.

The date that Sentinel Finco has selected to determine which Class A noteholders recorded in the
register of noteholders will receive the Notice, is 1 November 2023.

There are no restrictions imposed on Class A noteholders in respect of the voting and passing of
the Written Extraordinary Resolution.

The signed Written Extraordinary Resolution must be lodged with the relevant CSD Participant of
each Class A Noteholder (that provided such Class A Noteholder with this notice) by no later than
17h00 on 29 November 2023.
