ISSUE OF EQUITY
Further to the announcement made on 27 October 2023, MC Mining Limited (MC Mining or
the Company) confirms the issue of the balance of equity to a number of senior employees,
under the terms of the Company's shareholder approved Performance Rights Scheme.
The Company has now received the necessary South African Reserve Bank approval in respect
of the issue of 1,164,240 new Ordinary Shares to certain members of the Company's
management team (the Management Shares). These shares have been issued on satisfaction
of the vesting conditions for performance rights granted to certain members of the
Company's management team in November 2020.
Application has been made for the 1,164,240 Management Shares to be admitted to trading
on the ASX, AIM and JSE markets (Admission). Admission on AIM is expected to become
effective at 8.00 a.m. on or around 14 November 2023, and the shares will rank pari passu
with the Company's existing Ordinary Shares.
On Admission, MC Mining's issued share capital shall comprise 407,890,744 Ordinary Shares.
This figure may be used by shareholders in the Company as the denominator for the
calculations by which they will determine if they are required to notify their interest in, or a
change in their interest in, the share capital of the Company under the ASX Listing Rules and
the FCA's Disclosure Guidance and Transparency Rules.
