Notice in terms of Section 45(5) of the Companies Act, 71 of 2008, as amended ("the Act")
Shareholders have approved and passed a special resolution in terms of Section 45 of the Act
which authorises the Company to grant financial assistance.
Accordingly, this serves as notice that the Board has passed a resolution approving the
provision by the Company of financial assistance to its subsidiary, Murray & Roberts Limited,
as contemplated and in accordance with, inter alia, Sections 4 and 45 of the Act. The assistance
is in the form of a parent company guarantee in relation to a project in the renewable energy
sector, awarded to Optipower, a division of Murray & Roberts Limited.
