In terms of the JSE Debt Listings Requirements, Noteholders are
advised that the Annual Financial Statements for MTN Holdings
for the year ended 31 December 2023, have been made available on
the Company's website, which may be viewed or downloaded using
the following link:

Noteholders are also advised that the Company's audit reports
were unqualified. The 2023 MTN Holdings AFS includes disclosure
of a restatement to its financial results for the year ended 31
December 2022 to reflect MTN Nigeria's unrealised foreign
exchange losses on outstanding lease liabilities, a reduction of
the lease term for recognised leases and related deferred tax
impacts. Details on the restatements can be found in Note 11, on
pages 146 to 148 of the 2023 MTN Holdings AFS.
