RESIGATION OF JOINT EXTERNAL AUDITOR
In compliance with paragraphs 3.75 to 3.78 of the Listings Requirements of the JSE Limited, the board
of directors of AYO ("Board") hereby notifies its shareholders that Thawt Inc. ("Thawt") has resigned
as the AYO group's joint external auditor and terminated its audit engagement, with effect from
Wednesday, 30 October 2024.
Thawt's stated reason for their resignation is the increase in their own firm-level continuance
risks.
Crowe JHB Inc. ("Crowe"), the Company's joint external auditor, will continue with its engagement for
the financial year ended 31 August 2024 ("FY2024"). Thawt, is committed, to the extent possible and
as may be necessary, to providing support to Crowe in completing the FY2024 audit.
