NOTICE TO SHAREHOLDERS OF AVI IN TERMS OF SECTION 45(5) OF THE
COMPANIES ACT, 71 OF 2008 ("THE COMPANIES ACT")
Notice is hereby given as required in terms of Section 45(5) of the
Companies Act that pursuant to the authority granted to the board of
AVI by its shareholders at the annual general meeting of shareholders
held on 12 November 2024, the board of AVI has adopted a resolution to
continue to provide direct or indirect financial assistance (including
by way of loans and guarantees)to related or inter-related entities in
the ordinary course of business, as contemplated in Section 45 (2) of
the Companies Act.
