APPOINTMENT OF LEAD INDEPENDENT DIRECTOR
In compliance with paragraph 3.59(c) of the JSE Limited ("JSE")
Listings Requirements and paragraph 6.42(c) of the JSE Debt and
Specialist Securities Listings Requirements, shareholders and
noteholders are advised of the following changes to the important
functions of a director.
Dave Cathrall, currently an independent non-executive director,
Chairman of the Audit Committee and Risk Committee and a member of
the Remuneration Committee, has been appointed as the Lead Independent
Non-Executive Director with effect from 15 November 2024.
The lead independent director performs specific duties primarily aimed
at strengthening the chair of the board of directors in line with the
recommendations contained in the King IV Report on Corporate
Governance for South Africa 2016.
