NOTIFICATION OF CHANGE IN EXTERNAL AUDITORS
Sukuk holders are advised that following a review of Agrarius' external audit requirements and
the conclusion of a audit firm tender process, the audit and risk committee of Agrarius has
recommended, and the board of directors ("Board") has endorsed, the appointment of
PricewaterhouseCoopers Incorporated ("PWC") as the external auditor of Agrarius, with Ms
Farzeen Bootha, as the designated audit partner, to replace KPMG Incorporated ("KPMG").
The decision to change the external auditor was initiated by Agrarius, primarily for commercial
reasons and shall be effective immediately.
Agrarius operates a unique business model, providing Shari'ah-compliant funding to the
agriculture sector value chain, which necessitates a close alignment between its strategic
objectives and the external audit approach. The appointment of PWC reflects the Board's
commitment to ensuring that Agrarius continues to benefit from a strong partnership with an
audit firm that is well-positioned to support its specialised operations and growth ambitions.
The Board would like to extend its appreciation to KPMG for their services to Agrarius during
their tenure as external auditors.
