NOTICE OF ANNUAL GENERAL MEETING AND AVAILABILITY OF THE INTEGRATED ANNUAL REPORT
1. NOTICE OF ANNUAL GENERAL MEETING
Notice is hereby given that the 38th annual general meeting ("AGM") of Merafe shareholders ("Shareholders")
will be held at 11:00 on Tuesday, 13 May 2025 entirely through electronic means, as more fully set out in the
notice of AGM ("Notice"). The Notice accompanied by the Company's summarised consolidated financial
statements for the year ended 31 December 2024 were distributed to Shareholders today, 8 April 2025.

Record date to determine which Shareholders are entitled to receive the Notice, on Friday, 28 March
Posting of the Notice to Shareholders, on Tuesday, 8 April
Last day to trade in order to be eligible to attend, participate in and vote at the AGM, Friday, 25 April

Record date to determine which Shareholders are entitled to attend, participate in and Friday, 2 May
vote at the AGM, on
Last date for lodging forms of proxy (by 11:00), on Friday, 9 May*
AGM to be held (at 11:00), on Tuesday, 13 May
* For administrative purposes only. If forms of proxy are not received by this date, they must be submitted to Chairperson
of the AGM electronically before the appointed proxy exercises any of the relevant shareholder rights at the AGM.
2. AVAILABILITY OF THE INTEGRATED ANNUAL REPORT
Further to the publication of the Company's audited consolidated and separate annual financial statements for
the year ended 31 December 2024 on the Stock Exchange News Service of the JSE Limited ("JSE") on
Monday, 10 March 2025, available through the JSE cloudlink and on the Company's website at:
https://www.meraferesources.co.za/results/annuals-2024/pdf/afs.pdf, Shareholders are advised that the
Company's 2024 integrated annual report containing, inter alia, the additional information required in terms of
paragraph 8.62 of the JSE Limited Listings Requirements, is available on the Company's website at:
