CAUTIONARY ANNOUNCEMENT
Shareholders are advised that the Company has received a firm intention letter ("FIL")
from a potential offeror expressing a firm intention to make an offer to acquire all of the
issued ordinary shares in the Company, excluding those held by the offeror and its
concert parties, which may result in the delisting of the Company from the main board of
the JSE Limited.
In accordance with Regulation 101(1) of the Companies Regulations, 2011 ("Takeover
Regulations"), the FIL has been submitted to the Takeover Regulation Panel ("TRP") and
is currently under review.
Shareholders are advised that the Firm Intention Announcement ("FIA") will be
published upon TRP approval and in accordance with the Takeover Regulations.
Until such time as the FIA is released and the full terms of the proposed transaction are
disclosed, shareholders are advised to exercise caution when dealing in the Company's
securities.
