RECONSTITUTION OF BOARD COMMITTEES
On assessment of the size and scale of the Rex Trueform group, the board of directors ("board") have agreed to
reconstitute the audit committee and the risk committee into a combined audit and risk committee ("ARC") effective
from 23 June 2025.
The members of the newly constituted ARC, who are all independent non-executive directors, will be:
- Mr Hugh Roberts (Chairperson)
- Mr Masedi Molosiwa
- Ms Bulelwa Ntshingwa
Accordingly, executive director, Ms Catherine Lloyd and independent non-executive director, Mr Patrick Naylor,
previously members of the risk committee, will not form part of the newly constituted ARC. The board wishes to thank
Ms Lloyd and Mr Naylor for their invaluable contribution as members of the risk committee during their tenure.
