Appointment of an alternate director and change in committee membership
In accordance with paragraph 3.59 of the JSE Listings Requirements, shareholders are advised
that Mr James Ludlow has been appointed as an alternate director to a non-executive director,
Ms Leanne Wood, with effect from 25 September 2025.
James Ludlow has a Bachelor of Science (Hons) degree in Pure Mathematics from the University
of Wales, Swansea. He is a member of the Institute of Chartered Accountants England and Wales
(ACA). James is currently the Vodafone Group Plc Reward and Policy Director and a non-
executive director of Safaricom Plc. In his role as Group Reward & Policy Director he is
responsible for Vodafone Group Plc's strategic design, planning, management and
communication of the short-term and long-term reward plans. James also provides remuneration
and governance advice to all Vodafone Group Plc entities.
Following James' appointment to the Board, the following committees will be constituted as
follows:
