CHANGES TO THE BOARD OF DIRECTORS
Noteholders are advised of the following appointments to the Eskom board of directors, with
effect from 1 December 2025:
1. Dr Andrew Barendse
2. Dr Dimakatso Matshoga
3. Dr Kgaogelo Chiloane
4. Ms Sharmila Govind
5. Dr Vuyo Peach
6. Ms Bajabulile Tshabalala (Lead Independent Director)
7. Mr Tshokolo Nchocho
The following Eskom board directors have been retained, to ensure continuity:
1. Dr Mteto Nyati as Chairman
2. Dr Busisiwe Vilakazi
3. Mr Lwazi Goqwana
4. Mr Clive Le Roux
5. Dr Tsakani Mthombeni
The executive directors remain the Group Chief Executive, Mr Dan Marokane, and the Chief
Financial Officer, Mr Calib Cassim.
Following the above changes, the tenure of the following non-executive directors will end on
30 November 2025:
1. Mr Leslie Mkhabela (Lead Independent Director)
2. Ms Fathima Gany
3. Ms Ayanda Mafuleka
4. Dr Claudelle von Eck
5. Ms Tryphosa Ramano
6. Mr Bheki Ntshalintshali
Eskom welcomes the appointment of the new directors and extends gratitude to the outgoing
directors for their valuable contribution. The appointment of the new members of the Eskom
board of directors was done in alignment with the provisions of the Eskom memorandum of
incorporation.
