COMMISSION APPROVAL
Shareholders are referred to the announcement published on SENS on 19 August 2025
("Announcement"), regarding the disposal by Sargas (Pty) Ltd (a wholly-owned subsidiary of
Deneb) of Erf 3813 Mobeni, situated at 9 Warrington Road, Mobeni, Durban and known as
"Mobeni Industrial Park" ("the Property"), as a going concern, for a consideration of
R170,000,000, excluding VAT ("Disposal").
As stated in the Announcement, the Disposal was subject to several conditions precedent,
including the condition requiring the approval of the applicable competition authorities in terms
of the Competition Act, No. 89 of 1998 ("Competition Authorities"). Shareholders are
advised that on 18 November 2025, the Competition Authorities unconditionally approved the
Disposal and that the last outstanding condition precedent has now been fulfilled.
Accordingly, the Disposal has become unconditional and will be effective on the date of
registration of transfer of the Property, which is anticipated to be registered by the end of
January 2026.
