ISSUED SHARE CAPITAL OF DAWNING FILTERS – TRANSACTION NOW

Shareholders are referred to the announcement published on SENS on 9 October 2025
regarding the acquisition by Deneb of 80% of the total issued share capital of Dawning
Manufacturing KZN Proprietary Limited t/a Dawning Filters ("Acquisition").
Shareholders are advised that all the conditions precedent to the Acquisition have now been
fulfilled. Accordingly, the Acquisition has become unconditional and will be implemented in
accordance with the terms of the sale of shares agreement. The closing date of the Acquisition
will be 13 January 2026, being five business days after the fulfilment of the last of the
conditions precedent.
