FURTHER CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcement published on 4 December
2003, wherein shareholders were advised of an arrangement entered into with
African Renaissance Holdings Limited relating to Metro"s Black Economic
Empowerment ("BEE") initiative with a view to procuring BEE participation in
Metcash S. A. Limited ("Metcash") and Metcash Africa (Proprietary) Limited
("Africa"), resulting in the merger of Metcash and Africa, followed by the
separate listing of the merged entity on the JSE Securities Exchange South
Africa and other exchanges in Africa where the business operates. The process
is ongoing and, as advised, is targeted for implementation by mid-2004.
In the meantime, shareholders are advised to continue exercising caution in
their dealings in their Metro shares.
