NOTICE TO RAH SHAREHOLDERS
RAH shareholders are referred to the announcement published on 4 November 2003
regarding the acquisition by Afrisun Leisure Investments (Proprietary) Limited
("Afrisun Leisure"), a 60% held subsidiary of RAH, of shares in each of Afrisun
Gauteng (Proprietary) Limited and Sunwest International (Proprietary) Limited
("Sunwest") by means of the exercise of options ("the implemented transaction").
In this announcement it was stated that RAH shareholders would be required to
approve the exercise by Afrisun Leisure of further options over shares in
Sunwest ("the proposed transaction") at a general meeting of RAH shareholders.
RAH shareholders are advised that the JSE Securities Exchange South Africa
("JSE") has agreed that RAH may treat the implemented transaction and the
proposed transaction as separate transactions in terms of the Listings
Requirements of the JSE ("Listings Requirements"). As the implemented
transaction is not a Category 1 transaction in terms of the Listings
Requirements, RAH shareholder approval in respect thereof is not required. The
proposed transaction will be treated in accordance with the Listings
Requirements at the appropriate time.
Accordingly, the salient dates and times for the general meeting set out in the
announcement dated 4 November 2003 are no longer relevant. A circular, prepared
in terms of the Listings Requirements, setting out the terms of the implemented
transaction, will be posted to RAH shareholders on or about 9 February 2004.
