ANNOUNCEMENT OF ODD-LOT OFFER PRICE
It was announced on 22 December 2003 that Paracon would be implementing an odd-
lot offer subject to shareholder approval at the general meeting of shareholders
to be held at the later of 10:15 and immediately after the conclusion of the
annual general meeting on Wednesday, 28 January 2004.
Shareholders are now advised that the volume weighted average traded price of a
Paracon share on the JSE Securities Exchange South Africa for the five (5)
trading days up to and including Thursday, 22 January 2004 is 62 cents. In terms
of the odd-lot offer, shareholders recorded in the register and who hold
individually, in aggregate, fewer than 1000 shares at the close of business on
Friday, 13 February 2004, are offered three election alternatives:
1. to buy enough shares at 62 cents per share in order to increase their
shareholding to 1000 shares; or
2. to sell their odd-lot holding at the offer price plus a premium of 5%,
equivalent to 65 cents per share; or
3. to retain their odd-lot holding.
