CAPITAL RESTRUCTURING AND CHANGE OF NAME
In the mandatory offer circular dated 14 March 2003, shareholders were advised
that subject to regulatory and shareholder approval it was intended to:
- amend the company"s memorandum and articles of association and effect a
capital restructure in order that the company would be restructured as a
variable loan stock company;
- change the name of the company to Annuity Property Fund Limited; and
- acquire properties, predominantly retail centres or office parks, situated in
decentralised nodes.
The identification of suitable properties is ongoing, but the directors consider
it advisable to effect the amendment to the company"s memorandum and articles
and the capital restructure, and implement the name change in order that it is
suitably constituted when acquisitions are identified.
A circular containing full details of the proposals and incorporating a notice
of general meeting will be posted to shareholders on Monday, 2 February 2004.
The salient dates for the implementation of the proposals are set out below:

Last day to lodge forms of proxy for the general Monday, 23 February
meeting by 09:00
General meeting to be held at 09:00 Wednesday, 25 February
Results of the general meeting published on SENS Wednesday, 25 February
Results of the general meeting published in the press Thursday, 26 February
Last day to trade in Good Cape shares Friday, 5 March
Listing of Good Cape suspended at commencement of Monday, 8 March
business
Listing and trading of Annuity linked units commences Monday, 8 March
at commencement of business
Record date Friday, 12 March
Listing of Good Cape terminated from commencement of Monday, 15 March
business
New linked unit certificates in the name of Annuity Monday, 15 March
posted to certificated shareholders (if documents of
title have been received on or prior to the record
date) or, failing receipt of documents of title on or
before the record date within five days of receipt
thereof by the transfer secretaries
and
dematerialised shareholders will have their safe Monday, 15 March
custody accounts held at their CSDP or broker updated
to reflect the new linked units and the name change
Notes:
These dates and times are subject to change, any such change will be published
on SENS and in the press.
Good Cape share certificates may not be dematerialised or rematerialised after
Friday, 5 March 2004.
