ANNOUNCEMENT TO SHAREHOLDERS
Shareholders are advised that special notice has been received by the company in
terms of Section 220 of the Companies Act No 61 of 1973, as amended, for the
proposed removal and appointment of various directors. The requisition has been
made by certain major shareholders of Intervid, being the Howard Family Trust,
the James Howard Family Trust and the Kate Howard Family Trust.
Notice has been posted to shareholders today, notifying them of a general
meeting of the company to be held on Monday 23 February 2004. Resolutions will
be put to shareholders at the general meeting for the removal of Mr William
Francis Lambert, the chairman and independent non-executive director, and for
the appointment of Mr Richard Lewis Evans, Mr George Blundell O"Reilly and Mrs
Constance Elizabeth Howard as directors of the company.
There are divergent views amongst the directors of Intervid regarding the
proposed changes to the board of directors. The directors intend releasing a
recommendation to shareholders regarding the proposals shortly.
