CHANGES TO THE BOARDS OF DIRECTORS OF MGX AND METROFILE (PROPRIETARY) LIMITED
("METROFILE")
In compliance with Rule 3.59 of the Listings Requirements of the JSE Securities
Exchange of South Africa, MGX announces that:
* Norman Webster will retire as Chief Executive Officer ("CEO") of Metrofile
with effect from 1 March 2004, and will continue as an executive director of
Metrofile until 30 June 2004 and thereafter remain on Metrofile"s board as a non
executive director;
* Norman Webster will resign as an executive director of MGX with effect on 30
June 2004;
* Graham Wackrill, currently managing director of Metrofile Gauteng, will be
appointed CEO of Metrofile with effect from 1 March 2004, an alternate director
to Norman Webster on the MGX board with effect from 1 February 2004 and an
executive director of MGX with effect from 30 June 2004;
* Antony Ball will resign as a non-executive director of MGX with effect from 1
February 2004;
* Eduardo Garcia, who is currently an alternate director to Antony Ball, will be
appointed a non-executive director of MGX with effect from 1 February 2004; and
* Chris Seabrooke, the non-executive chairman of MGX, will also assume the role
of non-executive chairman of Metrofile with effect from 1 March 2004.
MGX will reconstitute its board committees to continue to comply with JSE
Listings Requirements and the governance recommendations of the King II Report.
