Shareholders are referred to the announcement made by the JSE Securities
Exchange South Africa ("the JSE") advising of the suspension of trading and
possible termination of the listing of Terexko shares as the company had not
timeously submitted its annual financial statements.
Shareholders are also referred to the cautionary announcement released on 31
October 2003 where they were advised of the disagreement between the directors
and the company"s auditors regarding the auditors" review opinion regarding
Terexko"s ability to continue as a going concern. Terexko has provided its
auditors with additional information in an attempt to resolve this disagreement,
and this is now being evaluated prior to the finalisation of the annual
financial statements.
Shareholders are also advised that certain major shareholders are desirous of
applying for the termination of the listing of Terexko and to comply with the
JSE Listings Requirements in this regard. This procedure includes, inter alia,
the requirement for shareholders to approve the termination of listing in
general meeting and to be made an appropriate offer supported by an independent
fair and reasonable opinion on the offer in the event that the termination of
listing is approved. This process has commenced and shareholders will be advised
of progress in due course.
