1. SCHEME OF ARRANGEMENT UNCONDITIONAL
NewFound Capital is authorised to announce that the scheme of arrangement
proposed by JCI between Rand Leases and linked unitholders of Rand Leases, other
than JCI ("the scheme"), was:
- unconditionally approved in writing by the Competition Commission on 28
January 2004; and
- sanctioned by the High Court of South Africa (Transvaal Provincial Division)
on Tuesday, 3 February 2004.
Accordingly, the scheme has become unconditional and, subject to registration
of the Order sanctioning the scheme by the Registrar of Companies, will be
implemented in accordance with the salient dates set out below.
2. REMINDER OF REMAINING SALIENT DATES
The remaining salient dates applicable to the implementation of the scheme are
set out below:
2004
Last day to trade for linked unitholders to be
eligible to receive the scheme consideration Friday, 6 February
Suspension of the listing of Rand Leases on the
JSE Securities Exchange South Africa ("JSE") at
the commencement of trading Monday, 9 February
Listing of JCI consideration shares on the JSE at
the commencement of trading Monday, 9 February
Record date to determine participation in the
scheme consideration by the close of trading Friday, 13 February
Operative date of the scheme at the commencement
of trading Monday, 16 February
Scheme consideration certificates posted to
certificated scheme participants if documents
of title are received on or prior to the record
date on (or failing receipt of documents of
title on or before the consideration record date,
not later than five business days of receipt
thereof by the transfer secretaries) Monday, 16 February
Dematerialised scheme participants have their
safe custody accounts held at their Central
Securities Depository Participant or broker
updated with the scheme consideration Monday, 16 February
Termination of the listing of Rand Leases on the
JSE at the commencement of trading Tuesday, 17 February
Note: Linked unit certificates may not be dematerialised or rematerialised after
Friday, 6 February 2004.
