UPDATE TO THE BOARD APPOINTMENT POLICY
In accordance with paragraph 7.8 of the JSE Debt and Specialist Securities Listings Requirements,
noteholders are advised that Nedbank Limited has updated its policy dealing with the nomination and
appointment of directors to the Board.
The policy has been updated to align with recent regulatory developments, including the JSE Listings
Requirements, the King V Report on Corporate Governance for South Africa and the South African Reserve
Bank Prudential Authority directives, and to refine certain provisions relating to board composition, fit-and-
proper assessments, outside commitments, and director independence and tenure.
