Results of general meeting
Investec Bank Limited is authorised to announce that a general meeting of
Growthpoint linked unitholders was held on Monday, 16 February 2004 ("the
general meeting") to consider and, if deemed fit, pass the resolutions relating
to the specific repurchase of 62 000 000 Growthpoint linked units ("the
repurchased units") from Sentinel Mining Industry Retirement Fund and Mine
Employees Pension Fund ("the resolutions").
The Growthpoint board is pleased to announce that the resolutions were passed by
the requisite majority of Growthpoint linked unitholders at the general
meeting.The repurchased units will, subject to the registration of the requisite
resolutions by the Registrar of Companies, be cancelled and subsequently be
delisted from the JSE Securities Exchange South Africa on or about Thursday, 19
February 2004, on which date the purchase consideration for the repurchased
units, comprising of a portfolio of listed units held by Growthpoint, will be
transferred to Sentinel Mining Industry Retirement Fund and Mine Employees
Pension Fund.
