In compliance with rule 3.59 of the JSE Listings Requirements, the following
information is disclosed:
McCarthy shareholders are referred to the announcement published on the
Securities Exchange News Service ("SENS") of the JSE Securities Exchange South
Africa ("JSE") earlier today regarding the results of the Bidvest offer. In
line with this change in shareholding the undernoted changes in the composition
of the Board of McCarthy Limited will become effective from today 23 February
2004.
Mr Noel Phillips resigns as Chairman of the Board but will remain on as an
independent non executive director. Mr Brian Joffe will become Chairman of the
Board.
