RESULTS OF THE GENERAL MEETING
Shareholders of Adcorp are advised that at the general meeting held on
Wednesday, 25 February 2004, the requisite majority of Adcorp shareholders voted
in favour of the ordinary resolutions pertaining to the proposed sale of all of
the communication businesses of Adcorp, being Simeka TWS Communications
(Proprietary) Limited, Graphicor (Proprietary) Limited and PR Connections
(Proprietary) Limited, to Adcorp Communication Solutions (Proprietary) Limited,
in which Adcorp will hold 75% of the shares and an empowerment consortium
comprising of Black Management Forum Investments Company (Proprietary) Limited
and Tshirundu Investment Holdings (Proprietary) Limited, will hold 25% of the
shares.
