RESULTS OF THE GENERAL MEETING AND FURTHER DETAILED CAUTIONARY ANNOUNCEMENT
1.Results of the general meeting
HCI shareholders are advised that, at the general meeting of HCI held at e.tv"s
offices today, the ordinary resolutions ratifying and approving:
- the put and call option agreement entered into with Southern African
Clothing and Textile Workers Union regarding the 16 070 142 Seardel
Investment Corporation Limited "N" shares currently held by a wholly-owned
subsidiary of HCI,
- were passed by the requisite majority of HCI shareholders present at the
general meeting or represented by proxy.
2.Further detailed cautionary announcement
HCI shareholders are referred to the renewal of cautionary announcement dated 2
March 2004 and are advised that HCI and its subsidiary, Mettle Limited ("the
offeror"), have submitted, via a company owned by them, an offer to the two
shareholders of Golden Arrow Bus Services (Proprietary) Limited ("GABS") for the
acquisition of all the shares in and claims against GABS for a cash purchase
consideration of R270 million ("the offer"). The offer will, unless extended by
the offeror, be open for acceptance before Tuesday, 9 March.
GABS is the sole provider of scheduled bus transport in the Western Cape
Metropole.
A further announcement detailing the outcome of the offer will be made in due
course, to the extent applicable.
Accordingly, HCI shareholders are advised to continue exercising caution when
dealing in their HCI shares.
