Results of general meeting
The directors of Imperial are pleased to announce that the resolutions tabled at
the general meeting of shareholders in respect of Imperial"s BEE transaction,
held at Imperial"s offices on 5 March 2004 relating to:
* the creation of a new class of shares, namely deferred ordinary shares;
* an amendment to the articles of association specifying the rights and
conditions attaching to the deferred ordinary shares; and
* the specific issue of 22 755 389 deferred ordinary shares for cash to
Ukhamba Holdings (Proprietary) Limited ("the BEE transaction"),
were approved by an overwhelming 145 650 394 shares representing 99.5% of the
votes cast.
The conditions precedent to the BEE transaction have all been fulfilled and the
deferred ordinary shares will be issued on Tuesday 9 March 2004.
