COMMENTARYNATURE OF BUSINESSSELCo"s principal business is the supply and
distribution of energy and related municipal services.BUSINESS REVIEWThe Group
faced a number of challenges during the period under review, which were
mitigated by an increase in demand from customers and the effective containment
of operating costs.
Turnover increased from R10,7 million, for the six months ended 31 December
2002, to R13,342 million, for the six months ended 31 December 2003, but profit
after taxation was largely eroded by temporary tax timing differences relating
to property, plant and equipment, and assessed losses being brought forward.
Cash flow from operating activities increased by more than 160% to R1,716
million in relation to the comparable period (2002 : R650 000) mainly as a
result of the increase in customer demand which led to increased revenue.
During the period under review the Group increased its borrowings to provide for
costs in the development of the Ugandan concession. Following SELCo"s withdrawal
from the Ugandan project (see "Prospects" below) the Group has instituted a
claim in the amount of US$250 000, in order to recover its development expenses.
PROSPECTSNamibiaThe Namibian operation is stable and continues to contribute
positively to the Group results. The restructuring of the electricity industry
in Namibia is behind schedule, but we are confident of future business in this
regard.
MozambiqueThe Group is in the process of securing a stake in a generation and
distribution concession in Mozambique, which, when concluded, should contribute
meaningfully to its results.UgandaThe Uganda concession, where we previously
reserved a 45% interest in the Ugandan operation, WENRECo, commenced on 1 April
2003. However, the Reserve Bank declined our application for foreign exchange
transfers to Uganda and we are therefore not able to take up equity in WENRECo.
In addition, the majority shareholder in WENRECo has not allowed us, as a
minority stakeholder, to contribute to the project and being in this position,
we are unable to add value to the project and ensure that our effort generates
further value. As such, we are in the process of withdrawing from the project.
ACCOUNTING POLICIESThe interim results have been prepared in accordance with the
Statements of Generally Accepted Accounting Practice of South Africa and
Schedule 4 of the South African Companies Act, 1993, as amended and should be
read in conjunction with the 2003 annual financial statements. The accounting
policies adopted remain consistent with those applied in the financial
statements for the year ended 30 June 2003.TAXATIONTaxation consists of deferred
tax for the six month period ended 31 December 2003. This deferred tax has
arisen as a result of temporary tax timing differences relating to property,
plant and equipment and assessed losses being brought forward.RELATED PARTY
TRANSACTIONSDuring the period the company and its subsidiaries, in the ordinary
course of business, entered into transactions with Rural Maintenance (Pty) Ltd,
the holding company of SELCo. These transactions resulted in a balance owing by
Rural Maintenance at 31 December 2003, included in accounts receivable.SEGMENTAL
REPORTINGNo segmental information is supplied as the Group operates in a single
line of business in one geographical region (Namibia).DIVIDENDNo dividend for
the 6 month period ended 31 December 2003 is declared.INDEPENDENT REVIEW BY THE
AUDITORSThese interim results have been reviewed by the auditors, SAB&T
Chartered Accountants Incorporated, who have performed the review in accordance
with the statement of South African Auditing Standards applicable to review
engagements. The scope of the review was to enable the auditors to report that
nothing has come to their attention that causes them to believe that the
accompanying condensed consolidated interim financial statements are not fairly
presented, in all material respects, in accordance with South African Statements
of Generally Accepted Accounting Practice and in the manner required by the
Companies Act in South Africa. SAB&T"s unmodified review report on the condensed
consolidated interim financial statements is available for inspection at the
registered office of the company.DIRECTORSIK Amuah (Chairman)*, CF Bosch (CEO),
