RESULTS OF SHAREHOLDER MEETINGS
Introduction
Shareholders are advised that the following three notices were posted to
shareholders:
1.1 the notice of the annual general meeting which accompanied the Company"s
annual financial statements and which was posted to shareholders on Monday, 16
February 2004;the notice of general meeting convened to consider the resolutions
referred to in 2.1 and 2.2 below,which was posted to shareholders on Saturday,
28 February 2004; and the notice of general meeting convened to consider the
resolution referred to in 2.3 below, which was posted to shareholders on Friday,
12 March 2004;(collectively "the shareholder meetings")
2. Results of shareholder meetings
The shareholder meetings were held on Tuesday,30 March 2004 and the directors
announce that, at the shareholder meetings,all the resolutions were passed by
the requisite majorities of shareholders.These resolutions included:
2.1 the special resolutions to:increase the authorised share capital of the
Company to enable it to allot and issue 40 000 000 convertible perpetual
cumulative preference shares with a par value of one cent each ("preference
shares");amend the Company"s Articles of Association to incorporate the rights
and privileges attaching to the preference shares;
increase the authorised share capital in the Company by an amount equal to any
increase in the issued share capital of the Company arising on conversion of the
preference shares;
2.2 the ordinary resolution to place the authorised but unissued preference
shares under the control of the directors; and
2.3 the ordinary resolution adopting the Share Option Scheme, the Long-Term
Incentive Plan, the Employee Share Incentive Trust and Deferred Bonus Plan.
The special resolutions will be lodged with the Registrar of Companies for
registration.
